- (1)John Hill departed the Company on June 12, 2024.
- Despite a challenging fiscal year in 2024 for MSC, the team remained steadfast on the advancement of our Mission Critical strategy.
- We embarked on the next chapter of our Mission Critical journey with a focus on maintaining the momentum from the completion of the first stage of our Mission Critical initiative, while simultaneously investing in areas of the business to create new elements of growth and acting on opportunities to improve our cost to serve.
- We are confident that our achievements and the meaningful progress made across these strategic efforts during the fiscal year will strengthen our long-term position.
- Within our solutions offerings, we continued to take market share throughout the fiscal year with 9% growth in our installed vending machine units and 29% growth in the number of In-Plant programs, both of which will enhance our ability to drive above-market growth when our primary end markets recover.
- We also made progress on creating new elements of growth through investment and strategic action.
- One area of focus is improving the customer experience on our website through a series of targeted investments.
- This includes increased focus on drastically enhancing our search and product discovery functions as well as the checkout experience.
- While we needed to delay the launch of these investments in fiscal year 2024, we have taken corrective action and believe we have the right team in place for a successful launch in fiscal year 2025.
- We also successfully converted our product offering of over 2.4 million SKUs to a more competitive web price structure.
- This will help us ensure that the first price presented to any visitor to mscdirect.com will be fair and credible.
- The combination of these actions strongly aligns with our culture of always putting the customers first and is expected to reenergize our core customer base.
- As we enter fiscal year 2025, we are focused on driving efficiencies across the organization and completing our strategic growth initiatives through incremental investments.
- We are focused on executing the three pillars that define our new chapter of Mission Critical — maintaining momentum by winning in metalworking and driving innovative solutions to expand share of wallet, reenergizing the core customer base through an improved web experience and better pricing, and optimizing our cost to serve through productivity improvements.
- While macroeconomic headwinds remain, we are laser focused on realizing our long-term goals of achieving adjusted operating margin in the mid-teens, driving 400 basis points of growth above the Industrial Production Index over the cycle and ultimately returning MSC to the performance we are confident it can achieve.
- •we made acquisitions for aggregate cash consideration of $24.0 million.

- As previously disclosed, we plan to hold the “say-on-pay” advisory vote on an annual basis.
- The Committee believes that management continued to effectively execute on the Company’s Mission Critical program with a focus on improving profitability and market share capture by leveraging our portfolio strengths and metalworking expertise, expanding solutions, growing E-commerce and diversifying the business, despite a complex macro environment, which became more uncertain as the year progressed.
- As a consequence, there were no bonus payouts for our NEOs based on Company performance.

- His fiscal 2024 base salary was $550,000 and his fiscal 2023 base salary was $525,000, which was a 4.8% increase.
- These were the same financial metrics that we used for our annual performance bonus plan in fiscal year 2023.
- For fiscal year 2024, in light of challenging Company performance, the Committee applied negative discretion to the annual bonus payouts for our NEOs and determined none would be paid.
- •adjusted operating margin.
- The Committee maintained the same financial metrics as in prior fiscal years because these metrics remain two of the most important drivers of value creation for our shareholders and the Committee believes there is a benefit in keeping consistency in metrics year to year.
- In fiscal year 2024, the Committee exercised negative discretion to modify the bonus payouts for fiscal year 2024 such that no bonus payments were to be paid based on individual performance to Mr. Gershwind, Ms. Actis-Grande, Ms. McIsaac, Ms. Bledsoe and Ms. Shacklett in light of the Company’s performance.
- Mr. Hill departed the Company on June 12, 2024 and was not eligible for an annual performance bonus award.
- The NEOs became vested in these PSUs in November 2024.
- John Hill Separation Agreement
- On June 12, 2024, we entered into a Separation Agreement with Mr. Hill (the "Separation Agreement") in connection with his resignation from the Company in exchange for a general release and certain confidentiality and cooperation provisions.
- Pursuant to the agreement, Mr. Hill is to receive (i) salary continuation of $550,000 over the twelve months following his termination, (ii) acceleration of vesting of certain of his then outstanding RSUs, (iii) a medical benefit continuation payment totaling $24,346 and (iv) outplacement services.
- The incremental value of the accelerated vesting of RSU awards was $239,848.
- In evaluating each element of compensation for the NEOs and other executive officers and senior officers, the Committee reviewed and benchmarked compensation levels against competitive market data developed by FW Cook.
- In general, market data developed by FW Cook was comprised of peer group proxy compensation data, together with compensation data by functional position derived from general industry surveys.
- Peer companies and the general industry survey sources used for benchmarking fiscal year 2024 compensation were the same as used for fiscal year 2023.
- The proxy peer group composition is reviewed and approved by the Committee each fiscal year after obtaining advice from its independent compensation consultant, FW Cook.
